These Terms of Service ("Terms") govern your access to and use of medvigilai.site (the "Website") and any early-access or demonstration services that Medvigil ("Medvigil", "we", "us") makes available to you (together, the "Services"). By using the Services you agree to these Terms.

1. The Services

Medvigil develops inventory software for pharmacies, including batch and expiry tracking, demand forecasting, invoice capture and supplier price comparison. The Website describes the platform and includes an interactive demonstration that uses fictional sample data. Features available to early-access participants may change while the platform is in development.

2. Early access

Early access is offered at our discretion. Any production use of the platform, including fees, service levels and data processing terms, will be set out in a separate written agreement between you and Medvigil. If that agreement conflicts with these Terms, the agreement prevails.

3. Your responsibilities

• Provide accurate information when you contact us or request access.
• Keep any account credentials we issue to you confidential, and tell us promptly about unauthorised use.
• Make sure you have the right to share any data you upload, and do not upload patient-identifiable information unless we have agreed to it in writing.
• Comply with the laws and professional rules that apply to your pharmacy or business.

4. Acceptable use

You must not:

• attempt to gain unauthorised access to the Services or related systems;
• interfere with or disrupt the Services, including by automated scraping or excessive requests;
• reverse engineer, copy or resell the Services except as the law expressly allows; or
• use the Services for anything unlawful, misleading or harmful.

5. Professional judgement

Medvigil provides forecasts, risk scores and recommendations to support inventory decisions. They are estimates. They do not replace the professional judgement of pharmacists or other qualified staff, and you remain responsible for decisions about purchasing, dispensing, storage, returns and disposal of medicines.

6. Intellectual property

The Services, the Website, the Medvigil name and logo, and all related software and content belong to Medvigil or its licensors. You keep ownership of the data you provide to us. You grant us the rights needed to process it in order to provide the Services to you.

7. Feedback

If you send us suggestions or feedback, we may use them to improve the Services without obligation to you.

8. Disclaimers

The Website and any early-access Services are provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties, whether express or implied, including fitness for a particular purpose and non-infringement. Sample data shown on the Website is fictional and does not represent results for any customer.

9. Limitation of liability

To the extent permitted by law, Medvigil is not liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, stock or data, arising from your use of the Website or early-access Services. Nothing in these Terms limits liability that cannot be limited by law.

10. Suspension and termination

We may suspend or end access to the Services if you breach these Terms or if continued access creates a security or legal risk.

11. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have jurisdiction over disputes.

12. Changes

We may update these Terms. The date at the top of this page shows when they last changed.
